Affiliate Agreement

1. Introduction

This Affiliate Agreement ("Agreement") sets out the terms of the Serpverse Affiliate Program (the "Program"). It is an agreement between you and Serpverse, and it applies in addition to our Terms of Service (the "Terms") and our Privacy Policy. To take part in the Program you must have a Serpverse account and have accepted the current Terms.

This Agreement governs your participation in the Program. The Terms continue to govern your use of the Service, including anything you do as a Buyer or Publisher. If this Agreement and the Terms conflict on a matter concerning the Program, this Agreement prevails.

You accept this Agreement by ticking the confirmation box when you join the Program, or when we ask you to accept a new version on your Affiliate Tab. We record the version you accepted, the date and time, and technical details of the request, including your IP address and browser user-agent. Your electronic acceptance has the same legal effect as a handwritten signature. If you join on behalf of a business or other entity, you confirm that you have authority to bind it, and "you" means that entity.

2. Definitions

Capitalized terms that are not defined in this Agreement have the meanings given to them in the Terms, including "Service", "User", "Buyer", "Publisher", "Affiliate", "Order", "Order Item", "Listing" and "Service Fee".

  • "Affiliate Tab" means the Affiliate section of your Serpverse dashboard, where your Link, Code, Commission, referrals and Payouts are shown.
  • "Buyer Saving" means the one-time reduction in the Service Fee described in Section 6 (What Your Buyers Get), which the Terms call the "Affiliate saving".
  • "Code" means the code that Users enter to be credited to you. When you join, it is the code you choose; it can be replaced as described in Section 4 (Your Code and Link). Users see it in capital letters.
  • "Commission" means the amount you earn under Section 7 (Commission).
  • "Commission Hold" means the period, described in Section 8 (Holds, Release, and Adjustments), during which Commission is held before it can be paid.
  • "Commission Window" means the period, described in Section 7 (Commission), during which a Referred User's completed Order Items earn Commission.
  • "Invitation" means an invitation link we issue to join the Program.
  • "Link" means your referral link: serpverse.io/r/ followed by the code you chose when you joined.
  • "Payout" means a payment of Commission to you under Section 9 (Payouts).
  • "Referred User" means a User account that is credited to you under Section 5 (How Buyers Are Credited to You).

3. Joining the Program

Invitation Only

The Program is currently open by invitation only. We decide whom to invite, and no one has a right to be invited or to join. An Invitation can be used once, works only until the expiry date we set, and can be withdrawn by us before it is used. Anyone who opens an Invitation and signs in can use it, so keep yours private.

Who Can Join

To join the Program, you must:

  • have a Serpverse account that is in good standing (not suspended or banned), has completed onboarding, and has accepted the current Terms;
  • meet the eligibility requirements in Section 3 (Eligibility) of the Terms;
  • not be the subject of sanctions imposed by the United Kingdom, the United States, the European Union, the United Nations or any other authority whose sanctions apply to us, and not be located in, or ordinarily resident in, a country or territory that is subject to comprehensive sanctions; and
  • take part through one account only. Each person or business may join the Program once.

While you take part, you must continue to meet the sanctions and one-account requirements above. While your Serpverse account is suspended or banned, Section 14 (Suspension) applies. An account can join the Program only once, whatever later happens to its participation. Serpverse administrator accounts cannot join.

The Rate on Your Invitation

Your Invitation shows a Commission rate. If your Invitation carries a rate agreed with you, that rate applies to you. Otherwise our standard rate applies, as described in Section 7 (Commission), so the rate for Users credited to you later may differ from the one your Invitation showed.

When You Join

You join by choosing your code and accepting this Agreement on the join page. Your Link works as soon as you join. Joining the Program doesn't change your role on the Service: you can continue to use your account as a Buyer or Publisher under the Terms.

Choosing Your Code

When you join, you choose the code that forms your Link and that buyers enter to be credited to you. It must be three (3) to thirty-two (32) characters long, made of lowercase letters and numbers with single hyphens between them, and contain at least three (3) letters or numbers. We refuse codes that are reserved, that contain "serpverse" in any form, or that match a code another Affiliate holds or has held. Choose carefully: your Link can't be changed after you join.

Your Link takes visitors to the Serpverse homepage or, if you add a destination to it, to a page in the marketplace, publishers, blog, knowledge base, tools or about sections of the Service. Any other destination takes visitors to the homepage.

How You Appear to Buyers

When a visitor opens your Link, or a signed-in User enters your Code, the Service shows your display name with your offer, for example "Sam's offer". Choose a display name you are happy for your audience to see. We show a generic label instead if your display name refers to Serpverse or can't be displayed safely.

Replacing Your Code

We may replace the Code that Users enter with a new one if your Code has been leaked or misused, or where we reasonably consider it necessary to protect Users or the Program. Your Link keeps working. The old Code stops crediting new Users immediately, including where you have already published it, and it can't be used again by anyone. Referred Users stay credited to you. We will tell you by email when we replace your Code.

Your Code Is Not Transferable

Your Code and Link are personal to you. You may not sell or transfer them, or let anyone else use them as their own.

5. How Buyers Are Credited to You

The Ways a User Is Credited

While the Program is running and both your participation and your Serpverse account are active, a User is credited to you as a Referred User in any of these ways:

  • Your Link. The User opens your Link, and a cookie remembers it in that browser for thirty (30) days from the visit. No further step is needed from them, and there is no cookie choice to make. If the User completes sign-up in that browser within that time, they are credited to you, unless in the meantime they open a Publisher's share link or another Affiliate's Link, either of which replaces the one remembered before. Some browsers keep this record for a shorter time, and a User can delete it through their browser's settings.
  • Your Code. The User enters your Code while completing sign-up, or at their first Order through "Have a referral code?", before they have placed any Order. Capital letters, spaces, hyphens and punctuation don't matter, but the letters and numbers must match exactly.
  • The sign-up question. New Users are asked "How did you hear about Serpverse?". An answer that exactly matches your Code, ignoring capital letters, spaces, hyphens and punctuation, credits the User to you automatically. We may also match other answers to you by hand, for example an answer that names you or your channel. Our decision on whether an answer names you is final. A User credited only through their answer doesn't receive the Buyer Saving.

One Referral per Account

Each account can be referred once, either by one Affiliate or through one Publisher's share link, never both. When a User completes sign-up, the first of these that credits someone decides the referral: a Code entered during sign-up, then a referral remembered in their browser, then their answer to the sign-up question.

After that, the referral doesn't change, with one exception: a Code entered before the User's first Order replaces a referral made only from their answer to the sign-up question. Once a User has placed their first Order, no referral can be added to their account or changed.

Who Can Be Credited

A User can be credited to you only while their account has not placed an Order and has not already been referred, other than only through their answer to the sign-up question as described above. Your own account is never credited to you, whether through your Link, your Code or an answer to the sign-up question.

Tracking Isn't Guaranteed

Crediting through your Link depends on the visitor's browser. Visitors can clear or block cookies, or sign up on a different device or browser, and some browsers keep cookies for less time than the thirty (30) days we set. We don't guarantee that every visitor you send will be credited to you. Your Code works on any device, so we recommend sharing it alongside your Link where you can.

Missed Referrals

Apart from a Code entered before a User's first Order, or an answer to the sign-up question matched as described above, we can't credit a User to you after they sign up.

Our Records

Whether a User is credited to you, and how, is decided by our records. If you believe a record is wrong, tell us and we will review it in good faith.

6. What Your Buyers Get

While the Program is running and we offer it, a Referred User credited through your Link or your Code receives a Buyer Saving: a one-time reduction in the Service Fee on the first Order it can be applied to. It is currently twenty-five percent (25%) of the percentage-based part of the Service Fee on every Order Item in that Order, up to ten US dollars ($10.00) per Order, as shown on your Affiliate Tab and to the Referred User at checkout. It never reduces the fixed part of the Service Fee or a Publisher's price. Section 11 (Referral and Affiliate Programs) of the Terms describes the Buyer Saving for Buyers.

A payment card can back only one first-order saving or discount across all accounts. A User whose funding card has already backed one on another account doesn't receive the Buyer Saving.

We set the Buyer Saving and may change it, or stop offering it, at any time. A Referred User keeps an unused Buyer Saving if your participation is later suspended or ends, but no Buyer Saving is available while the Program is paused or after it has closed.

You must describe the Buyer Saving only in the words shown on your Affiliate Tab or in materials we give you.

7. Commission

What Earns Commission

You earn Commission on each Order Item that a Referred User completes during the Commission Window, whichever Publisher it is with, except as set out below. Commission is earned only when an Order Item is completed: Order Items that are declined, cancelled (including cancellations that carry a cancellation fee) or never finished earn nothing.

How Much You Earn

Commission is your Commission rate multiplied by the Service Fee we actually charged on the completed Order Item, after any Buyer Saving and including the fixed part of the fee. It is never a share of the listing price. Commission is calculated in whole cents and rounded down, and an amount of less than one cent is not recorded.

For example, at a rate of forty percent (40%), an Order Item with a Service Fee of $23.00 earns $9.20, and the same Order Item with a first-order Buyer Saving of $4.50 (a Service Fee of $18.50) earns $7.40.

Your Commission Rate

If a rate was agreed with you, your Commission rate is that rate. Otherwise it is our standard rate — currently forty percent (40%) of the Service Fee — as it stands when each User is credited to you. Your Affiliate Tab shows the rate that applies to you. The rate that applies to a Referred User is fixed when that User is credited to you. A later change to a rate agreed with you, or to our standard rate, applies only to Users credited to you after the change.

The Per-Item Cap

While we apply it, the Service Fee counted for any one Order Item is capped at the Service Fee on an Order Item priced at the threshold in our fee schedule. That cap is currently one hundred eighty-five US dollars ($185.00), the Service Fee on an Order Item priced at one thousand US dollars ($1,000.00), so at a rate of forty percent (40%) one Order Item currently earns at most seventy-four US dollars ($74.00). The cap follows the fee schedule in force when the Commission is recorded.

The Commission Window

A Referred User's Order Items earn Commission during a Commission Window that starts when the first Order Item they complete, with any Publisher, is completed. It is currently twelve (12) months. The start stays the same even if that first Order Item is later refunded. We will not shorten the Commission Window for an existing Referred User. If we lengthen it, the longer window applies to existing Referred Users as well.

When Commission Is Recorded

Commission is recorded automatically, normally within a day of the Order Item's completion.

What Doesn't Earn Commission

You don't earn Commission on:

  • Order Items for your own Listings;
  • any Order Item of a Referred User if a payment card used to fund that User's balance has also funded a deposit on another Serpverse account, including your own account or a client account whose deposits you pay. Once this applies to a Referred User, it applies to all of their later Order Items, but Commission already recorded for them stands;
  • Order Items completed while the Program is paused, unless the Program resumes, in which case those that fall inside the Commission Window earn Commission at that point;
  • Order Items completed while your participation is suspended, or your Serpverse account is suspended or banned, unless you are reinstated, in which case those that fall inside the Commission Window earn Commission at that point; and
  • Order Items completed after your participation ends.

Commission Is Not a Balance

Commission is shown on your Affiliate Tab and paid to you under Section 9 (Payouts). It is never added to your Serpverse balance, can't be spent on Orders, and can't be withdrawn from the balance page. No interest accrues on Commission.

8. Holds, Release, and Adjustments

The Commission Hold

Each Commission is held for a Commission Hold before it can be paid, currently forty-five (45) days after its Order Item is completed. The length of the Commission Hold is fixed when the Commission is recorded.

Release

After the Commission Hold, Commission is released and becomes ready to pay if: (a) its Order Item is still completed; (b) the Order Item has no open dispute or content moderation review; (c) any review of the Commission under this Section is complete; and (d) your participation and your Serpverse account are active. Released Commission whose Order Item later comes under an open dispute or content moderation review is left out of Payouts until the dispute or review ends.

Reviews

We may hold Commission, or delay a Payout, while we review it: for example, where we can't confirm how a Referred User funded their account, where amounts are unusually large, or where we suspect fraud or a breach of this Agreement. Commission held because we can't confirm how a Referred User funded their account is shown on your Affiliate Tab as on hold; while we review a Payout for any other reason, the Commission it would include may still be shown as ready to pay. If a review finds that Commission doesn't qualify under this Agreement, we cancel it.

Refunds and Chargebacks

If we refund a Referred User's completed Order Item in full, or it becomes charged back under Section 12 (Chargebacks) of the Terms:

  • if its Commission has not yet been paid, the Commission is cancelled; and
  • if its Commission has already been paid, the payment stands and the same amount is deducted from your later Payouts.

Commission on an Order Item can be taken back only once. A refund made through a dispute after completion, which leaves the Order Item completed, doesn't affect its Commission. If a chargeback is later decided in our favor, we are not required to restore Commission that was cancelled or taken back because of it, although we may choose to pay you an equal amount.

Other Cancellations

We may cancel Commission that has not been paid if we reasonably determine that it doesn't qualify under this Agreement, for example because of a self-referral, a breach of Section 11 (How You May Promote Serpverse), fraud or an error. Your Affiliate Tab shows such Commission as not qualifying. An Order Item whose Commission has been cancelled or taken back can't earn Commission again.

Amounts You Owe

Amounts taken back because of a refund or chargeback are deducted from Commission that later becomes ready to pay. If they are more than the Commission ready to pay, no Payout is made and the difference carries forward to later Payouts. We may ask you to repay any other amount you owe — including paid Commission taken back under Section 11 (How You May Promote Serpverse) or Section 15 (Ending Your Participation), and any amount that can't be recovered from later Commission, for example because your participation has ended — and you agree to repay it within thirty (30) days of our request.

Your Affiliate Tab

Your Affiliate Tab shows your Commission and its state as recorded by us. If you think a figure is wrong, tell us and we will review it in good faith.

9. Payouts

How You're Paid

We pay Commission by hand, from our own funds. You choose how to be paid on your Affiliate Tab, from the methods we offer, which are currently:

  • PayPal, to your account's PayPal address. This is the same address used for Publisher withdrawals by PayPal, so changing it in either place changes both. We send PayPal Payouts as a payment for goods and services, and PayPal charges its receiving fee to you.
  • Payoneer, to the Payoneer email address you give us. Payoneer may charge its own fees on your side.
  • Bank transfer. Before your first bank transfer, we email your account's email address to ask for your bank details, and we send the money using Wise. We don't store your bank details in the Service. Bank transfers can take a few business days to arrive.

We may change the methods we offer, and not every method may be available in every country.

Currency and Fees

Commission is calculated in US dollars, and we send Payouts in US dollars. Any currency conversion, and any fee your payment provider or bank charges you to receive a Payout, is your responsibility. We pay our own fees for sending a Payout.

When You're Paid

By the last day of each calendar month, we pay all Commission that is ready to pay and meets the conditions below. You can't request a Payout at other times.

Payout Conditions

We make a Payout only when:

  • your participation and your Serpverse account are active;
  • no other Payout to you is being sent;
  • the checks in Section 10 (Taxes and Payout Checks) are complete;
  • no review under Section 8 (Holds, Release, and Adjustments), and no check of your payout details under "Your Payout Details" below, is under way;
  • at least two (2) different Referred Users each have Commission that still stands, meaning Commission that has not been cancelled or taken back and is not under review. This applies to every Payout, and refunds can bring you back below it;
  • you have chosen a payout method and its address or details are set; and
  • the amount ready to pay, after deducting any amounts taken back, is at least the minimum Payout, currently twenty US dollars ($20.00). A smaller amount carries over to a later Payout.

Each Payout includes all Commission that is ready to pay and meets these conditions, less any amounts taken back, worked out when we start the Payout.

Your Payout Details

You are responsible for keeping your payout method and details accurate. We aren't responsible for a Payout sent to details you gave us that turn out to be wrong, and we may not be able to recover it. While a Payout to you is being sent, you can't change your payout method or the address it is being sent to. Every change sends an alert to your account's email address, which can't be switched off. We may delay a Payout to a destination that was set or changed recently, or that differs from your last Payout, while we confirm that it is yours.

Payout Notices

When we have sent a Payout, we notify you of the amount and the method and, for PayPal and Payoneer, the address it was sent to. The payment reference is in the email and on your Affiliate Tab. If we start a Payout but cancel it before sending, the Commission it included becomes ready to pay again.

10. Taxes and Payout Checks

Taxes

You are responsible for all taxes on your Commission, including income tax and any VAT, sales or similar tax. Commission amounts include any VAT, sales or similar tax that may apply to them. We don't deduct tax from Commission unless the law requires us to, and we may report Payouts to tax authorities where the law requires.

Checks Before Your First Payout

Before your first Payout, we:

  • search the UK Sanctions List for you, and may check other sanctions lists that apply to us; and
  • record whether you are a United States person for tax purposes. If you are, you must give us a completed IRS Form W-9 before we can pay you. We keep the form securely, outside the Service.

We may also ask you for other information we reasonably need to meet our legal obligations, such as information about your identity or tax status. We don't make Payouts until these checks are complete. If a check shows that we can't lawfully pay you, we won't pay you, and we may end your participation under Section 15 (Ending Your Participation).

11. How You May Promote Serpverse

Disclose That You Earn Commission

Whenever you promote Serpverse with your Link or Code, you must clearly disclose that you may earn a commission, at the start of the promotion and before your first link. You must label the promotion as an advertisement, for example with "Ad" at the start; "affiliate", "#affiliate" or an asterisk on its own is not enough. In a video, you must say it within the first thirty (30) seconds and put it at the start of the description. For example:

  • in an article: "Ad: this article contains affiliate links. If you sign up through one, I earn a commission, at no extra cost to you.";
  • in a video or podcast: "Ad: I earn a commission if you sign up through my link or use my code."; and
  • in a newsletter or social media post: "Ad" or "#ad" at the start.

These examples are illustrations. You must follow the disclosure rules that apply to you and your audience, such as the UK CAP Code and consumer protection law and, in the United States, the Federal Trade Commission's Endorsement Guides.

You must send people to Serpverse through your Link. Any link to Serpverse that doesn't go through your Link must be marked with a rel="sponsored" or rel="nofollow" attribute, and we recommend marking your Link the same way.

Say Only What's True

When you describe Serpverse, use the facts we publish or give you, and keep them accurate. You must not:

  • promise or suggest search rankings, traffic or other SEO results, or describe placements as "Google-safe", "penalty-proof" or undetectable;
  • say that Serpverse has no fees or is the cheapest, or describe our fees, refunds, guarantees, indexing or site verification other than as we publish them;
  • describe the Buyer Saving other than as Section 6 (What Your Buyers Get) allows;
  • invent statistics, testimonials, results or earnings, including your own; or
  • make a claim about a named competitor without a source and a date.

What You Must Not Do

You must not:

  • bid on "serpverse", or misspellings or variations of it, in paid search or other advertising, or run ads that link straight to the Service;
  • publish your Link or Code on coupon, deal, voucher or cashback sites or pages, or describe your Code as a "promo code", "coupon" or "voucher";
  • pay or reward anyone for signing up or ordering, or offer cashback, rebates or other incentives on top of the Buyer Saving;
  • send unsolicited bulk or commercial messages, spam forums, comments or review sites, post fake reviews, or use fake or undisclosed accounts;
  • place your Link in sitewide, footer or blogroll links;
  • set our cookie or load your Link without a genuine click by the visitor, for example through hidden frames, forced redirects, pop-unders, adware or browser extensions;
  • refer yourself, an account you control, or an account you fund, including a client account whose deposits you pay;
  • post your Link or Code where a community's rules don't allow it;
  • impersonate Serpverse, or suggest that you are our employee, agent or partner or that we endorse your content; or
  • promote Serpverse in content that is illegal or that would breach Section 14 (Content Guidelines and Prohibited Content) of the Terms.

Obey the Law

You must comply with all laws that apply to your promotion of Serpverse, including advertising and consumer protection law, rules on unsolicited marketing (such as the UK Privacy and Electronic Communications Regulations, the US CAN-SPAM Act and Canada's Anti-Spam Legislation) and data protection law.

Monitoring and Correction

We may check how you promote Serpverse, including by reviewing pages and posts that link to or mention us, and you agree to give us the information we reasonably ask for. If we ask you to correct or remove something that doesn't comply with this Agreement, you must do so within five (5) business days, or sooner if the law requires.

If You Break These Rules

If you breach this Section, we may cancel unpaid Commission that was earned through the breach, ask you to repay paid Commission that was earned through the breach, and suspend or end your participation under Section 14 (Suspension) or Section 15 (Ending Your Participation).

12. Our Name and Brand

While you take part in the Program, we give you a limited, non-exclusive, non-transferable and revocable license to use the Serpverse name, and any logos, screenshots or other materials we give you for the purpose, only to promote Serpverse under this Agreement and without altering them.

You must not register or use a domain name, social media handle, app name, advertising account or business name that contains "serpverse" or anything confusingly similar, and you must not describe yourself as a Serpverse partner, official representative or reseller. All goodwill arising from use of the Serpverse name belongs to Serpverse. We may withdraw materials, or ask you to stop using them, at any time, and the license ends when your participation ends.

13. Data and Confidentiality

What You See About Your Referred Users

Your Affiliate Tab shows totals of clicks on your Link, sign-ups and buyers and, for your most recent Referred Users, a referral number, when they were credited to you, when their first Order was completed, when their Commission Window ends, and the Commission on each of their completed Order Items with its state. It never shows who they are or what they bought. You must not try to identify a Referred User from this information, or combine it with other information to do so.

Personal Data

Each of us is an independent controller of the personal data it processes. We process personal data about you, including your payout details and the records of our payout checks, as described in our Privacy Policy. You are responsible for the personal data you collect or use in promoting Serpverse, including information about your audience, and you must handle it lawfully. You must not send us personal data about other people unless we ask for it.

Confidentiality

Information about the Program that we give you and that isn't public, such as a Commission rate agreed with you, is confidential. You must keep it confidential and use it only to take part in the Program, during your participation and for two (2) years after it ends, unless the law requires you to disclose it.

Publicity

You may say publicly that you are a member of the Serpverse Affiliate Program, with the disclosure that Section 11 (How You May Promote Serpverse) requires. Except for your display name shown with your offer, as described in Section 4 (Your Code and Link), we will not publish your name, your results or anything else about your participation without your permission.

14. Suspension

We may suspend your participation in the Program where we reasonably suspect a breach of this Agreement or the Terms, or fraud or abuse of the Program, where the law requires it, or while we investigate.

While your participation is suspended, or while your Serpverse account is suspended or banned, your Link and Code don't credit new Users, no Commission is recorded or released, and no Payouts are made. Referred Users keep any unused Buyer Saving, subject to Section 6 (What Your Buyers Get). While your participation is suspended, your Affiliate Tab is not available to you.

If we reinstate you, Commission on Order Items completed during the suspension is recorded if they fall inside the Commission Window, and Commission whose Commission Hold has ended is released. A suspension doesn't extend the Commission Window. A Payout that was already being sent when your participation was suspended may still be completed.

We will tell you by email when we suspend or reinstate your participation, with our reasons, unless the law or an investigation prevents us from doing so. A suspension may end in reinstatement or in the end of your participation under Section 15 (Ending Your Participation).

15. Ending Your Participation

How It Can End

You may end your participation at any time by telling us through our contact form or by email to our support address. We may end your participation for any reason by giving you thirty (30) days' notice, or immediately as described under "Ending for Breach" below. If your Serpverse account is closed, your participation ends on the same date. We may also close the Program; where practicable, we will give Affiliates at least thirty (30) days' notice of its closure.

Ending Without Breach

If your participation ends because you ended it, because we ended it other than for breach, because your Serpverse account was closed, or because the Program closed, Commission on Order Items completed before the end date continues through the Commission Hold and is paid under Section 8 (Holds, Release, and Adjustments), Section 9 (Payouts) and Section 10 (Taxes and Payout Checks), subject to any cancellations and amounts taken back. For those Sections only, your participation continues until that Commission has been paid, and your Affiliate Tab stays available. During that time your Link and Code may keep crediting new Users, but Order Items completed after the end date earn nothing. If what remains is less than the minimum Payout, or fewer than two (2) Referred Users have Commission that still stands, it can't be paid, and it is cancelled when your participation is finally closed.

Ending for Breach

We may end your participation immediately, by notice, if you materially breach this Agreement or the Terms (including Section 11 (How You May Promote Serpverse)), if you commit fraud or abuse the Program, if your Serpverse account is banned, or if the law requires it. If we do:

  • Commission that has not been paid is forfeited, including Commission that is ready to pay; and
  • Commission earned through the breach that has already been paid may be taken back, and you agree to repay it within thirty (30) days of our request.

A Payout that was already being sent when your participation ended may still be completed, or may be cancelled.

After It Ends

When your participation has ended — at once for an ending for breach, or once the Commission described above has been paid — your Link and Code stop crediting new Users and your Affiliate Tab is no longer available; you can ask us for a statement of your Commission and Payouts. You must stop promoting Serpverse under this Agreement, and remove your Link and Code from content you control, within thirty (30) days of the end date. Referred Users keep any unused Buyer Saving, subject to Section 6 (What Your Buyers Get). An account can join the Program only once, so your account can't rejoin. Ending your participation doesn't close your Serpverse account, which remains governed by the Terms.

The following survive the end of your participation: Section 7 (Commission), Section 8 (Holds, Release, and Adjustments), Section 9 (Payouts) and Section 10 (Taxes and Payout Checks), for Commission earned before the end; and Section 13 (Data and Confidentiality), Section 15 (Ending Your Participation) and Sections 17 to 22.

16. Changes to the Program and This Agreement

Changes to the Program

We may change the Program at any time, including our standard Commission rate, the Buyer Saving, the Commission Hold, the per-item cap, the minimum Payout and the payout methods. Your Affiliate Tab shows your Commission rate, the Commission Window, the Commission Hold, the Buyer Saving and the payout methods, and we will tell you the other current values on request. Changes to the Commission Hold or the per-item cap apply only to Commission recorded after the change. We will not change the Commission rate that applies to an existing Referred User, or shorten their Commission Window, as described in Section 7 (Commission).

Pausing the Program

We may pause the Program at any time. While it is paused, Links and Codes don't credit new Users, no Buyer Saving is available, and no new Commission is recorded, but Commission already recorded continues through the Commission Hold, release and Payouts. Order Items completed during a pause that fall inside the Commission Window earn Commission when the Program resumes.

New Versions of This Agreement

We may update this Agreement. We will publish the new version on this page and tell you about it and, for a material change, we will give you at least thirty (30) days' notice before it takes effect where practicable. You will be asked to accept the new version on your Affiliate Tab. Until you accept it, your Link and Code aren't shown on your Affiliate Tab, but they keep crediting Users to you, and Commission continues to be recorded and paid under the version you last accepted. If you haven't accepted a new version within thirty (30) days of our asking, we may end your participation as an ending without breach under Section 15 (Ending Your Participation).

Moving the Program

We may change how the Program works, for example by paying Commission into your Serpverse balance, or by running the Program through a third-party affiliate platform whose own terms would then also apply to you. We will give you notice and ask you to accept an updated Agreement, and we will keep your Link and Code working where we can.

17. Relationship of the Parties

You take part in the Program as an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, joint venture or franchise relationship between you and Serpverse. You have no authority to make commitments on our behalf, and you pay your own costs of promoting Serpverse. The Program is non-exclusive: you may promote other businesses, and we may work with other Affiliates. There is no minimum amount you must refer.

18. Disclaimers

THE PROGRAM, YOUR LINK AND CODE, OUR TRACKING OF REFERRALS AND YOUR AFFILIATE TAB ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SERPVERSE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, AND DOES NOT WARRANT THAT THE PROGRAM WILL BE UNINTERRUPTED OR ERROR-FREE, THAT EVERY USER YOU SEND WILL BE TRACKED OR CREDITED TO YOU, OR THAT YOU WILL EARN ANY PARTICULAR AMOUNT. THE DISCLAIMERS IN SECTION 19 (DISCLAIMERS AND WARRANTIES) OF THE TERMS ALSO APPLY.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SERPVERSE IS NOT LIABLE TO YOU UNDER OR IN CONNECTION WITH THIS AGREEMENT OR THE PROGRAM FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY OR GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SERPVERSE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS UNDER OR IN CONNECTION WITH THIS AGREEMENT OR THE PROGRAM WILL NOT EXCEED THE GREATER OF (A) THE COMMISSION PAID TO YOU IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED US DOLLARS ($100.00). THIS LIMIT DOESN'T REDUCE COMMISSION THAT HAS BEEN PROPERLY EARNED AND IS PAYABLE UNDER THIS AGREEMENT.

NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITS ANY LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

20. Indemnification

You agree to indemnify, defend and hold harmless Serpverse and its officers, directors, employees, agents, corporate affiliates, successors and assigns from and against all claims, demands, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) your promotion of Serpverse, including your content and the methods you use; (b) your breach of this Agreement; (c) your breach of any law, including advertising, consumer protection, unsolicited marketing and data protection law; and (d) any claim that your content infringes another person's rights.

21. Governing Law and Disputes

If you have a concern about the Program, please contact us first so that we can try to resolve it informally. This Agreement, and any dispute arising out of or relating to it or the Program, is governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. You take part in the Program in the course of a business or profession. Nothing in this Section limits any right that cannot be excluded under the law that applies to you.

22. General Provisions

Entire Agreement

This Agreement, together with the Terms and the Privacy Policy, is the entire agreement between you and Serpverse about the Program and replaces any earlier communications about it, including invitations and outreach messages. A Commission rate agreed with you that appears on your Invitation forms part of this Agreement.

Notices

We may give you notices by email to your account's email address, through your Affiliate Tab or other in-app notifications, or by posting them on the Service. You may give us notices through our contact form or by email to our support address. Notices we send by email are treated as received on the day we send them.

Assignment

You may not assign or transfer this Agreement or your rights under it. We may assign or transfer this Agreement, including as part of a merger, acquisition, reorganization or sale of assets.

Severability and Waiver

If a court finds any part of this Agreement invalid or unenforceable, that part is modified to the minimum extent necessary to make it enforceable, or removed, and the rest of this Agreement continues in effect. Our failure to enforce a right is not a waiver of it.

Force Majeure

Neither of us is liable for a failure or delay caused by circumstances beyond our reasonable control, including the failure of a payment provider.

No Third-Party Rights

No one other than you and Serpverse has any right to enforce this Agreement.
